TERMS AND CONDITIONS

1. AGREEMENT TO TERMS

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Customer," "Client," "Artist," "you," or "your") and Tattoo Agent LLC, a Utah limited liability company ("Tattoo Agent," "Company," "we," "us," or "our"), located at 4906 Fairview Dr, Holladay, Utah 84117.

By accessing our website, using our services, or signing up for a Tattoo Agent account, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

2. DEFINITIONS

"Service" or "Services" means the Tattoo Agent software platform, including all features, tools, integrations, and support provided through our website and applications.

"Account" means your registered user account with Tattoo Agent that allows access to our Services.

"Subscription" means your recurring payment arrangement for access to the Services under one of our pricing plans.

"Setup Fee" means the one-time fee of $500 charged to configure and launch your account.

"Content" means any data, text, images, photographs, artwork, designs, or other materials uploaded, created, or stored using our Services.

"Third-Party Services" means external services and platforms integrated with Tattoo Agent, including but not limited to payment processors and e-commerce platforms.

3. SERVICES PROVIDED

3.1 Platform Access

Tattoo Agent provides a comprehensive business management platform designed specifically for independent tattoo artists, including:

• Professional artist website with custom domain
• Automated booking and scheduling system
• Payment collection and deposit management
• Client communication hub (email, SMS)
• Calendar management with automated reminders
• Social media post scheduling and management
• Marketing campaign tools
• Analytics and reporting

3.2 Tiered Plans

Services are offered through multiple subscription tiers:

Artist Essentials Plan ($99/month): Core business management features as listed above.

Artist Growth Plan ($199/month): All Essentials features plus online merchandise store, print-on-demand integration, and ad campaign management.

Artist Pro+ Plan ($249/month): All Growth features plus QuickBooks integration, automated accounting assistance, and 24/7 AI-powered customer support for your clients.

3.3 Beta Program

During our beta phase, certain features may be in testing or development. Beta customers understand that services may be refined based on feedback and performance.

4. ACCOUNT REGISTRATION AND ELIGIBILITY

4.1 Age Requirement

You must be at least 18 years of age to use our Services. By creating an account, you represent and warrant that you meet this age requirement.

4.2 Account Information

You agree to provide accurate, current, and complete information during registration and to maintain and update this information to keep it accurate, current, and complete.

4.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or security breach.

4.4 One Account Per Artist

Each tattoo artist may maintain only one active account unless explicitly authorized by Tattoo Agent for legitimate business purposes.

5. SUBSCRIPTION AND BILLING

5.1 Setup Fee

A one-time Setup Fee of $500 is charged upon account creation to cover the time and resources required to configure, customize, and launch your account. This fee may be waived for customers who commit to 12-month prepayment.

5.2 Monthly Subscription Fees

Subscription fees are billed monthly in advance on the date you sign up (your "Billing Date"). All fees are stated in U.S. Dollars (USD) and are non-refundable except as explicitly stated in Section 6.

5.3 Automatic Renewal

Your subscription will automatically renew each month on your Billing Date unless you cancel before the renewal date. You authorize us to charge your payment method on file for all recurring fees.

5.4 Payment Methods

Payment must be made via credit card, debit card, or other payment methods we may offer. You authorize us to charge your payment method for all applicable fees.

5.5 Failed Payments

If payment fails, we will attempt to charge your payment method up to three times. If all attempts fail:

• Your account will be automatically paused
• You will lose access to the Services
• Your account data will be retained in a paused state for up to 6 months
• You may reactivate by updating payment information and paying all outstanding balances

5.6 Price Changes

We reserve the right to modify subscription pricing with 30 days' advance notice. Continued use of the Services after the price change takes effect constitutes acceptance of the new pricing.

5.7 Taxes

You are responsible for all applicable federal, state, local, and foreign taxes, duties, or other governmental assessments associated with your use of the Services.

6. REFUND AND CANCELLATION POLICY

6.1 Setup Fee Refunds

The Setup Fee is refundable ONLY if you cancel your account BEFORE beginning the onboarding process. Once onboarding has commenced (defined as completing any portion of the setup forms, scheduling your welcome call, or receiving your website build), the Setup Fee becomes non-refundable due to the time and resources invested.

6.2 No Monthly Subscription Refunds

All monthly subscription fees are non-refundable. We do not provide refunds or credits for partial months of service, upgrades, downgrades, or unused time.

6.3 Service Issues

In cases of significant platform outages or service failures lasting more than 48 continuous hours due to issues within our control, you may be eligible for a pro-rated credit at our sole discretion. To request consideration, you must:

• Report the issue to our support team within 7 days at [email protected]
• Provide specific details about the impact
• Allow us reasonable time to investigate and respond

Such credits are issued at our sole discretion and do not constitute a guarantee or entitlement.

6.4 Cancellation Process

You may cancel your subscription at any time by:

• Accessing your account settings and following the cancellation process, OR
• Contacting our support team at [email protected]

6.5 Effect of Cancellation

Upon cancellation:

• You will retain access to your account through the end of your current paid billing period
• After your paid period ends, your account will be paused and you will lose access to all Services
• Your account and data will be retained in a paused, dormant state for 6 months
• During this 6-month period, you may reactivate your account without paying a new Setup Fee
• After 6 months, we reserve the right to permanently delete your account and all associated data

6.6 No Refunds on Cancellation

Cancellation does not entitle you to a refund of any fees already paid.

7. DATA RETENTION AND REACTIVATION

7.1 Dormant Account Period

When you cancel, your account enters a dormant state for up to 6 months. During this period:

• Your data remains stored but inaccessible to you
• You are not charged any fees
• Your website, automations, and all Services are inactive
• We reserve the right to perform routine maintenance or updates

7.2 Reactivation Within 6 Months

If you reactivate your account within 6 months of cancellation:

• The Setup Fee is waived
• You regain full access to your account and data
• You must resume monthly subscription payments
• Your account is restored to the state it was in at cancellation

7.3 Account Deletion After 6 Months

After 6 months of dormancy, we reserve the right to permanently delete your account and all associated data. If you wish to use Tattoo Agent after this point, you must:

• Create a new account
• Pay the full Setup Fee
• Complete onboarding again as a new customer

8. INTELLECTUAL PROPERTY RIGHTS

8.1 Your Content Ownership

You retain all intellectual property rights to any Content you upload, create, or store using our Services, including but not limited to:

• Tattoo designs and artwork
• Photographs and images
• Business information
• Client data

8.2 License to Tattoo Agent

By using our Services, you grant Tattoo Agent a limited, non-exclusive, worldwide, royalty-free license to:

• Host, store, and display your Content as necessary to provide the Services
• Use, reproduce, and display your website designs, email campaigns, automation workflows, and other non-proprietary system configurations for demonstration and marketing purposes to prospective customers
• Display customer reviews and testimonials you provide
• Reference your business name and describe our working relationship in client lists and marketing materials

Important Clarifications:

• We will NEVER resell, redistribute, or commercially exploit your original artwork, designs, or proprietary creative Content
• We will not disclose sensitive client information, financial data, or confidential business information in our marketing materials
• You may revoke permission for us to showcase your system at any time by written request to [email protected]
• We will make reasonable efforts to remove your materials from marketing within 30 days of such request

8.3 Tattoo Agent IP

All rights, title, and interest in and to the Tattoo Agent platform, software, features, trademarks, logos, and technology remain the exclusive property of Tattoo Agent LLC. You receive only a limited license to use the Services as described in these Terms.

8.4 Feedback

If you provide suggestions, ideas, or feedback about our Services, we may use such feedback without any obligation to compensate you, and you hereby assign all rights to such feedback to Tattoo Agent.

9. ACCEPTABLE USE POLICY

9.1 Permitted Uses

You may use our Services only for lawful purposes and in accordance with these Terms. Specifically, you agree to use Tattoo Agent solely for:

• Managing your legitimate tattoo artist business operations
• Communicating with current and prospective clients
• Marketing your professional tattoo services
• Conducting lawful business transactions

9.2 Prohibited Uses

You expressly agree NOT to use our Services for:

Illegal Activities:

• Any purpose that violates federal, state, local, or international law
• Fraud, misrepresentation, or deceptive practices
• Money laundering or other financial crimes
• Any activity that would require a license you do not possess

Prohibited Content:

• Adult content, pornography, or sexually explicit material
• Content depicting minors in any inappropriate context
• Hate speech, harassment, or discriminatory content
• Content that promotes violence, terrorism, or illegal activities
• Spam, phishing, or malicious content
• Infringement of intellectual property rights

System Abuse:

• Attempting to gain unauthorized access to our systems
• Interfering with or disrupting the Services
• Using automated systems to access the Services without permission
• Reverse engineering or decompiling our software
• Reselling or redistributing our Services without authorization

9.3 Enforcement

Violation of this Acceptable Use Policy may result in:

• Immediate suspension or termination of your account
• Reporting to law enforcement authorities as required by law
• No refund of any fees paid
• Legal action to recover damages or obtain injunctive relief

9.4 Content Monitoring

While we do not actively monitor user Content, we reserve the right to review accounts and Content to ensure compliance with these Terms. We may remove Content or suspend accounts at our sole discretion if we believe violations have occurred.

10. THIRD-PARTY SERVICES AND INTEGRATIONS

10.1 Payment Processing

Our Services integrate with Stripe, Inc. for payment processing. You must:

• Create and maintain your own Stripe account
• Comply with Stripe's Terms of Service
• Be responsible for all transaction fees charged by Stripe
• Handle any disputes with Stripe directly

Tattoo Agent does not take any percentage of your client transactions. All payment processing fees are between you and Stripe.

10.2 E-Commerce (Growth and Pro+ Plans)

The Growth and Pro+ Plans include integration with Shopify for merchandise sales. Under this arrangement:

• Tattoo Agent creates and owns the Shopify store account
• You are granted access as an authorized user to manage products and inventory
• You receive 100% of the revenue from merchandise sales
• You are responsible for fulfilling orders and customer service for merchandise
• Shopify's Terms of Service apply to your use of the store
• Tattoo Agent pays the Shopify subscription fee as part of your service

10.3 Other Third-Party Services

Our Services may integrate with or provide links to third-party services. These integrations are provided for your convenience, but:

• We do not control third-party services
• We are not responsible for their availability, accuracy, or reliability
• Their use is subject to their own terms and privacy policies
• We disclaim all liability for issues arising from third-party services

10.4 Changes to Integrations

We reserve the right to add, modify, or remove third-party integrations at any time with or without notice. We will make reasonable efforts to notify you of material changes.

11. LIMITATION OF LIABILITY

11.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Services will meet your specific requirements
• The Services will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Services will be accurate or reliable
• Any errors in the Services will be corrected

11.2 No Liability for Client Interactions

Tattoo Agent provides business management tools only. We are not responsible for:

• Interactions between you and your clients
• Quality of tattoo services provided
• Client satisfaction or disputes
• Safety incidents occurring at your place of business
• Misconduct by clients, including aggressive behavior, non-payment, or other issues
• Any outcomes resulting from appointments booked through our platform

You acknowledge that your business operations and client relationships are your sole responsibility.

11.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TATTOO AGENT SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
• DAMAGES RESULTING FROM SERVICE INTERRUPTIONS OR OUTAGES
• DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICES

IN NO EVENT SHALL TATTOO AGENT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO TATTOO AGENT IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11.4 State-Specific Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

11.5 Force Majeure

We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
